Acceptance of Terms

By accessing and using the services provided by Orvion B.V. ("Company", "we", "our", or "us"), you accept and agree to be bound by the terms and provision of this agreement. If you do not agree to abide by the above, please do not use this service. These Terms of Service govern your use of our website, consultation services, and civil engineering projects.

Services Description

Orvion provides professional civil engineering services including but not limited to:

  • Infrastructure design and planning
  • Construction management and oversight
  • Site analysis and geotechnical assessment
  • Engineering consultation and advisory services
  • Project feasibility studies
  • Regulatory compliance assistance

Client Obligations

Clients engaging with Orvion agree to:

  • Provide accurate and complete information regarding project requirements
  • Grant necessary access to project sites and relevant documentation
  • Comply with all applicable laws and regulations
  • Make timely payments according to agreed terms
  • Communicate changes or concerns promptly
  • Maintain confidentiality of proprietary engineering solutions
  • Obtain necessary permits and approvals as advised

Professional Standards

Orvion commits to maintaining the highest professional standards in accordance with Dutch engineering regulations and international best practices. Our services are provided by qualified professionals with appropriate certifications and experience in civil engineering disciplines.

Intellectual Property

All intellectual property rights in designs, plans, specifications, reports, and other materials created by Orvion remain the property of Orvion unless otherwise agreed in writing. Clients receive a licence to use such materials for the specific project purpose. Clients may not reproduce, distribute, or modify our intellectual property without explicit written consent.

Confidentiality

Orvion maintains strict confidentiality regarding client information, project details, and proprietary data. We do not disclose confidential information to third parties without client consent, except as required by law or professional regulations. Clients are expected to maintain similar confidentiality regarding our engineering methodologies and proprietary solutions.

Payment Terms

Payment terms are specified in individual project agreements. Unless otherwise stated:

  • Invoices are payable within 30 days of issue
  • Late payment may incur interest charges as permitted by Dutch law
  • Disputed amounts must be raised within 14 days of invoice receipt
  • Work may be suspended for overdue payments

Limitation of Liability

Orvion's liability is limited to the extent permitted by Dutch law. Our total liability for any project shall not exceed the total fees paid for that specific project. We are not liable for indirect, consequential, or punitive damages. This limitation does not apply to cases of gross negligence or intentional misconduct. Professional indemnity insurance covers our services as required by Dutch engineering regulations.

Force Majeure

Neither party shall be liable for delays or failures in performance resulting from circumstances beyond reasonable control, including natural disasters, government actions, labour disputes, or other force majeure events. We will notify clients promptly of any such circumstances and work to minimise project impact.

Termination

Either party may terminate services with written notice as specified in the project agreement. Upon termination, clients shall pay for all services provided up to the termination date. Orvion will transfer completed work products to the client upon full payment. Confidentiality obligations survive termination of the agreement.

Quality Assurance

Orvion maintains comprehensive quality assurance procedures to ensure our services meet professional standards. We conduct regular reviews, implement best practices, and continuously improve our methodologies. Any quality concerns should be raised promptly to allow for appropriate resolution.

Data Protection

Client data is processed in accordance with our Privacy Policy and applicable data protection laws, including GDPR. Project-related data is retained for the periods required by Dutch engineering and construction regulations, typically seven years after project completion.

Dispute Resolution

We encourage resolution of disputes through direct communication. If formal dispute resolution becomes necessary, parties agree to attempt mediation before pursuing litigation. Any mediation or arbitration shall be conducted in accordance with Dutch alternative dispute resolution procedures.

Governing Law

These Terms of Service are governed by and construed in accordance with the laws of the Netherlands. Any legal proceedings shall be subject to the exclusive jurisdiction of the Dutch courts. The application of the United Nations Convention on Contracts for the International Sale of Goods is expressly excluded.

Modifications

Orvion reserves the right to modify these terms at any time. Updated terms will be posted on our website with the revision date. Continued use of our services after modifications constitutes acceptance of the updated terms. Material changes affecting existing projects will be communicated directly to affected clients.

Severability

If any provision of these terms is found to be unenforceable or invalid, the remaining provisions shall remain in full force and effect. The invalid provision shall be replaced with a valid provision that most closely reflects the original intent.

Professional Insurance

Orvion maintains appropriate professional indemnity insurance and public liability coverage as required by Dutch law and professional engineering standards. Insurance details are available upon request for qualified project enquiries.
